Agreement to Terms
By accessing our website or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
Services Description
Tiauho Labs provides professional digital services including:
- Web Development: Custom websites and web applications using modern technologies
- UX/UI Design: User-centered design services for digital products
- Related Services: Additional services as mutually agreed upon
Service Engagement Process
Initial Consultation
All projects begin with a consultation to understand your requirements, timeline, and budget. This consultation is provided at no charge and does not constitute a commitment from either party.
Project Proposal
Following consultation, we will provide a detailed proposal including:
- Scope of work and deliverables
- Timeline and milestones
- Investment and payment terms
- Terms and conditions specific to your project
Service Agreement
Work begins only after both parties sign a detailed service agreement. The service agreement will include specific terms that may supplement or modify these general Terms of Service.
Payment Terms
Payment Schedule
- Projects typically require a 50% deposit before work begins
- Remaining balance due upon project completion
- Large projects may be structured with milestone-based payments
- Ongoing services are billed monthly in advance
Payment Methods
We accept payment via bank transfer, check, or approved digital payment platforms. Payment terms are Net 30 days unless otherwise specified in your service agreement.
Late Payments
Late payments may result in suspension of services and may incur a 1.5% monthly service charge on overdue amounts. We reserve the right to require payment in advance for future services.
Intellectual Property
Client Ownership
Upon full payment, clients own the custom work product created specifically for their project, including designs, code, and content created by Tiauho Labs.
Tiauho Labs Ownership
We retain ownership of:
- Pre-existing intellectual property and methodologies
- General knowledge and experience gained
- Tools, frameworks, and reusable components we develop
Third-Party Materials
Any third-party materials (fonts, images, software libraries) remain subject to their respective licenses. Clients are responsible for obtaining necessary licenses for ongoing use.
Confidentiality
We maintain strict confidentiality regarding all client information, business processes, and proprietary data. We will not disclose confidential information to third parties without written consent, except as required by law.
Clients agree to keep confidential any proprietary methods, processes, or business information shared by Tiauho Labs during the engagement.
Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional manner consistent with industry standards. We will correct any material defects in our work at no additional charge for 30 days after delivery.
Disclaimer
Except as expressly stated, all services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the total amount paid by client for the specific services giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.
Project Changes and Scope
Change Requests
Changes to project scope must be requested in writing and approved by both parties. Additional work will be billed at our current hourly rates or as mutually agreed.
Client Responsibilities
- Provide timely feedback and approvals
- Supply necessary content, materials, and access
- Respond to requests for information within agreed timeframes
- Ensure authorized personnel are available for project decisions
Termination
Termination by Either Party
Either party may terminate services with 30 days written notice. Client remains responsible for payment of all work completed through the termination date.
Immediate Termination
We may terminate services immediately if:
- Client fails to pay invoices when due
- Client breaches these terms or the service agreement
- Client requests work that violates laws or our ethical standards
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or other unforeseeable events.
Governing Law and Disputes
These terms are governed by the laws of the United States and the state of Delaware. Any disputes will be resolved through good faith negotiation or, if necessary, binding arbitration in accordance with Delaware law.
Both parties agree to attempt resolution through direct communication before pursuing formal dispute resolution procedures.
Modifications to Terms
We may update these Terms of Service from time to time. Material changes will be communicated to active clients with at least 30 days notice. Continued use of our services after changes constitutes acceptance of the updated terms. You may also review our Privacy Policy for information about how we handle your personal data.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
